Reference is made to the stock exchange announcement made by the Issuer on 7
September 2026, in which the Issuer announced the approval by its board of
directors to issue 25,000 new shares to satisfy the exercise of share options.
The share issue will increase the Issuer's total issued shares and voting
rights from 47,145,000 to 47,170,000.
Drew Holdings Ltd.'s shareholding of 11,790,000 ordinary shares (with no
rights to further shares) is unchanged by the share issue. As a result, Drew
Holdings Ltd.'s ownership will be diluted from 25.00795% to 24.9947% of the
Issuer's shares and voting rights.
Hence, Drew Holdings Ltd. will, upon completion of the share issue, passively
fall below the notification threshold of 25%, cf. the Securities Trading Act
section 4-2 (1) cf. section 4-4 (5).
