Tecnotree Corporation Stock Exchange Release 4 September 2026 at 12:30 EEST
The Board of Directors of Tecnotree Corporation ("Tecnotree" or "Company") has resolved to accept share subscriptions based on the conversion of 1 Compulsory Convertible Debenture issued on 22 June 2023 ("CCD Notes") pursuant to a conversion notice received by the Company. In the said share subscription, the lender of the CCD Note subscribed a total number of 15,580 new shares (the "New Shares") in the Company by exercising the Special Right issued in connection with the CCD Notes. The conversion right was exercised during the Conversion Period under the terms of the CCD Notes, which commenced on 22 June 2026, being the third anniversary of the issue date of the CCD Notes.
The terms of the CCD Notes were disclosed in stock exchange release on 22 June 2023, as amended due to the reverse split as disclosed in stock exchange release on 19 April 2024.
The subscription price per each New Share was EUR 6.42 (rounded) in accordance with the terms of the CCD Notes. The subscription price of the New Shares was paid by setting it off against the principal of the CCD Notes in the total amount of EUR 100,000. The subscription price of the New Shares was entered in its entirety into the Company's invested non-restricted equity fund.
The Company expects the New Shares to be registered with the Trade Register on or about 17 September 2026. The New Shares are of the same class as the Company's other shares and entitle to the same shareholder rights as the Company's existing shares after their registration and entering into book-entry accounts of the subscriber.
The Company shall apply for the admission of the New Shares to public trading on the stock exchange list of Nasdaq Helsinki Ltd on or about 18 September 2026.
After the registration of the New Shares in the Trade Register, the total number of the shares in the Company will be 22,868,458 shares (taking into account also the number of 18,105 new shares based on the CCD conversion disclosed in stock exchange release on 20 August 2026 the registration of which is still pending on the date hereof).
